Terms and Conditions of Sale

1. Preamble

These Terms and Conditions of Sale (hereinafter "Terms") govern the contractual relationship between:

Hereinafter "the Provider" or "Purrplan"

And any natural or legal person wishing to benefit from the services offered by the Provider, hereinafter "the Customer".

2. Purpose

These Terms set out the conditions under which the Provider supplies the following services to the accepting Customer:

  • Access to the Purrplan platform, a social media content management and scheduling solution
  • Automatic scheduling and publishing of content on social media
  • Analysis of post performance
  • Any other ancillary service offered by the Provider and subscribed to by the Customer

These services are offered as a subscription giving access to a defined number of credits used to operate the various features of the platform.

3. Application and enforceability

These Terms are available at any time on the Purrplan website and prevail over any other version or any conflicting document.

Any order for services implies the Customer's unreserved acceptance of these Terms, which the Customer acknowledges having read before placing an order.

The Provider reserves the right to modify these Terms at any time. The applicable Terms are those in force on the date of the order placed by the Customer.

4. Description of services

Purrplan is a complete solution for scheduling and publishing content on social media.

Services are provided as a subscription giving access to a defined number of credits. These credits are used to operate the various platform features according to the terms specified in the plan subscribed to by the Customer.

The details of the features and limitations of each subscription plan are specified on the Purrplan website or in the commercial offer sent to the Customer.

The Provider reserves the right to evolve the platform features at any time, without this constituting a substantial modification of the services subscribed to by the Customer.

5. Prices and payment terms

Service prices are stated in euros and exclusive of tax. VAT at the applicable rate is added to the stated prices.

The applicable prices are those in force on the day the subscription is taken out or renewed.

Payment is made by automatic debit from the Customer's bank card or by any other payment method offered at the time of subscription.

For subscriptions, payment is made according to the frequency chosen by the Customer (monthly or yearly) and automatically renewed at each due date, unless cancelled under the conditions set out in article 8.

Any late payment will result in late-payment penalties at the legal interest rate increased by 5 points, as well as a fixed recovery fee of €40, without prejudice to the suspension of services.

6. Duration and renewal

The subscription is taken out for the duration indicated at the time of order (monthly or yearly).

At the end of this period, the subscription is automatically renewed for an identical duration, unless cancelled by the Customer under the conditions set out in article 8.

The Customer will be informed by email of the renewal date of their subscription at least 7 days before the due date.

7. Credits and use of services

The use of Purrplan services is based on a credit system. Each subscription plan grants a defined number of credits per period (month or year).

Credits are automatically added to the Customer's account on the start date of each subscription period.

Credits not used during a period are not carried over to the following period, unless stated otherwise in the plan subscribed to by the Customer.

The Customer can check the balance of their available credits at any time in their customer area.

The Customer can purchase additional credits at any time, according to the prices in force at the time of purchase.

8. Cancellation

The Customer can cancel their subscription at any time from their customer area or by contacting customer support. Cancellation takes effect at the end of the current subscription period.

No refund will be made for the current subscription period, regardless of the cancellation date.

The Provider reserves the right to terminate the Customer's subscription in the event of a serious breach of these Terms, in particular in the event of:

  • Non-payment of amounts due
  • Fraudulent or abusive use of the services
  • Infringement of the Provider's intellectual property rights
  • Provision of false or incomplete information at registration

In this case, termination will take effect immediately and without notice, without the Customer being able to claim any refund.

9. Intellectual property

All elements of the Purrplan platform, whether visual or audio, including the underlying technology, are protected by copyright, trademarks or patents.

The Customer only has a personal, non-exclusive right to use the services, limited to the duration of their subscription.

The Provider cannot be held liable for the Customer's use of the content published via the platform.

10. Liability

The Provider undertakes to implement all necessary means to ensure the availability and quality of the services offered.

However, the Provider cannot be held liable for:

  • Temporary interruptions of the services for maintenance or update reasons
  • Failures or malfunctions of the Internet network
  • The consequences of the Customer's use of the content published via the platform
  • Indirect damage suffered by the Customer, such as loss of customers, loss of revenue, etc.

The Customer is solely responsible for:

  • Checking and validating content before publishing it
  • Respecting the rights of third parties when using the services
  • The security of their login credentials

The Provider's liability, if engaged, would be limited to the amount paid by the Customer for the current subscription.

11. Protection of personal data

The Provider undertakes to respect the confidentiality of the personal data provided by the Customer and to process it in accordance with the applicable legislation.

Information about the processing of personal data is detailed in the Privacy Policy available on the Purrplan website.

12. Force majeure

The Provider's liability cannot be engaged if the non-performance or delay in the performance of one of its obligations described in these Terms results from a case of force majeure.

In this respect, force majeure means any external, unforeseeable and irresistible event within the meaning of article 1218 of the French Civil Code.

13. Applicable law and jurisdiction

These Terms are subject to French law.

In the event of a dispute relating to the interpretation or performance of these Terms, the parties will endeavour to find an amicable solution.

Failing an amicable agreement, any dispute will be submitted to the competent courts of Saint-Denis de La Réunion, notwithstanding multiple defendants or third-party proceedings.
